General
These terms of use (hereinafter “Terms”) are entered into between you as the user (hereinafter “User” or “you”) and Synbase OÜ (a company incorporated under Estonian law with registry code 14011154 and registered address at Tiigi tn 61b, Tartu 50410, Estonia) as the service provider (hereinafter “Synbase”, “us” or “we”), and govern your use of the Synbase web portal (hereinafter “Web Portal”) accessible via website www.synbase.eu, Synbase application or integrated software solution. Your use of the Web Portal via integrated software solution may be governed by additional terms and conditions from which you will be notified accordingly.
By accessing and using the Web Portal, you accept these Terms and agree to be bound by what has been established herein. If you do not want to accept these Terms, you must discontinue any use of the Web Portal immediately.
Synbase reserves the right to unilaterally modify and update the Terms at any time, provided that the modifications and updates are required based on justified reasons (e.g. change in applicable laws, reasonable business interests of Synbase, improving the existing features, etc.), it being specified that any amendments relating to the said Terms will be published on this page.
We will notify you of any material modifications and updates in the Terms by sending a respective notice to you via your personal user account on the Web Portal or to an e-mail address which you have provided for us. Unless specified otherwise, any amendments in the Terms become effective immediately after we post them. Your continued use of the Web Portal following the posting of the amended Terms means that you accept and agree to be bound by the amendments.
Services
Synbase offers various services (hereinafter “Services”) made available via its Web Portal, e.g. accessing and using databases on medical coding, medications, clinical guidelines, differential diagnosis etc., which can be used separately or as part of clinical decision support system (CDSS). Synbase offers certain Services free of charge and certain Services for a charge. You can find more information about the available Services and applicable charges thereto in the Web Portal.
Access to Web Portal
Services available via Web Portal are targeted to health care professionals, i.e. doctors, dentists, nurses, midwives and pharmacists. Anyone can access the Web Portal, but access to specific Services may be limited by way of allocating certain rights to certain users on the basis of their profession and/or contractual relationships with health care organisations.
As to example, anyone can access and use the Services made available to general public. Only doctors, dentists, nurses, midwives and pharmacists can access and use the Services made available to doctors, dentists, nurses, midwives and pharmacists on the basis of their profession. Only doctors, dentists, nurses, midwives and pharmacists contracted by a specific health care organisation can access and use the Services made available to such health care organisation.
You can access the Web Portal via website www.synbase.eu, Synbase application or integrated software solution. To access the Web Portal via website www.synbase.eu or Synbase application, you are required to log in by authenticating yourself through one of the authentication methods provided by Synbase, e.g. Google Auth, ID-card, Mobile-ID or Smart-ID. To access the Web Portal via integrated software solution, you are required to authenticate yourself through one of the authentication methods provided by the holder of the software solution to which the Web Portal has been integrated to (e.g., IP-based access, token-based access).
During the authentication process initiated by your very first request to access the Web Portal, an user account will be automatically created for you. For that purpose, you may be requested to provide certain registration details or other information, e.g. your e-mail address. It is a condition for your use of the Web Portal that all the information you provide is correct, current and complete.
You will also be automatically allocated with user rights applicable to you on the basis of information retrieved from relevant databases (e.g. national register of health care professionals, health care organisation’s list of contracted health care professionals). The validity of your user rights will be automatically verified each time you log in to your account.
Use of the Web Portal and Services
Synbase grants you a limited, non-exclusive and revocable permission to access and use the Web Portal and the Services made available thereto. Your access and use of the Web Portal and the Services made available thereto is strictly personal. You are not allowed to permit anyone to access and use the Web Portal and the Services made available thereto under your personal user account.
Synbase permits you to access and use the Web Portal and the Services made available thereto only for your personal use on clinical, educational or research purposes and, if and to the extent you have been granted access to certain Services due to being contracted by a health care organisation, for the clinical, educational and research purposes of such health care organisation (hereinafter “Permitted Use”). You are prohibited to use the Web Portal and the Services made available thereto for any commercial purposes.
You are also prohibited to (i) use the Web Portal or the Services made available thereto in any manner that could disable, overburden, damage, interfere with or impair the Web Portal, (ii) use any automatic devices, processes or means (e.g. screen scrapers or web scrapers) to extract or collect the content of the Web Portal or the Services made available thereto; (iii) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or the underlying ideas, algorithms, structure or organisation of the Web Portal or the Services made available thereto.
Management of the Web Portal
Synbase Web Portal is accessible online. Synbase reserves the right at any time to suspend, interrupt or limit access to all or part of the Web Portal for any reason whatsoever and in particular for maintenance or updating purposes, whether scheduled or unscheduled, or in the event of an attack on the Web Portal. Your access to Synbase Web Portal may also be limited due to occurrence of various unforeseen circumstances without any fault on Synbase part or beyond Synbase reasonable control, including, without limitation, Internet outages, communications outages, issues and problems relating to information technology, fire, flood or war (i.e. force majeure events).
Ownership of the properties
Synbase Web Portal, trademarks, logos and any other distinctive signs and any software used or included on the Web Portal, as well as any content (including, but not limited to, any texts, audio or video clips, editorial content, photographs or any other information in any format and of any nature whatsoever) appearing on the Web Portal (hereinafter “Properties”) are the exclusive property of Synbase or third party providers who have authorised Synbase to use such Properties.
The Properties may be protected by copyright, trademark, patent or any other intellectual property rights. Information (including the Properties) published on the Web Portal may under no circumstances be used for commercial or advertising purposes, or for any other purposes not expressly permitted under these Terms.
Your use of the Properties is limited only to the Permitted Use (as defined above). Any other use of the Properties is strictly prohibited. For avoidance of any doubt, you are prohibited to extract, reuse, transfer, record, broadcast, market, distribute, modify, adapt, translate or reproduce or create any derivative works of all or part of the elements (including the Properties) of the Web Portal or content thereof without prior and express written authorisation from Synbase. Failure to comply with this prohibition constitutes an infringement that may result in civil and criminal liability.
Third-party content and links
Synbase Web Portal may include content provided by third parties or links referring to third party content published on other sites. The existence of any third-party content or links on the Synbase Web Portal do not imply a validation of legality of such third-party content by Synbase. Synbase makes no representations or warranties and does not assume any responsibility with regard to any third-party content made available via its Web Portal.
For avoidance of any doubt, translation of any third-party content by Synbase does not result in any responsibility of Synbase for substance of the translated content. Synbase translates third party content in compliance with ISO standards ISO 17100:2015, IEC/TR 62366-2:2016.
Synbase Web Portal may also be integrated with third party software. Such third-party software is strictly independent from Synbase Web Portal. Synbase makes no representations or warranties and does not assume any responsibility with regard to any third-party software. You are responsible for complying with all relevant terms and conditions associated with such third-party software.
Warranty disclaimer
Synbase Web Portal and any Services made available thereto are provided on “as is” and “as available” basis, without any express or implied warranty or representation of any kind. Synbase makes no representations or warranties on satisfactory quality or fitness for a particular purpose of the Synbase Web Portal or the Services or their availability or non-infringement of any third-party rights. Synbase will not assume responsibility for any third-party content or software available through the use of Synbase Web Portal.
Reliance on content
Any and all content presented on the Synbase Web Portal is made available solely for general information purposes. The Web Portal is targeted to persons with adequate medical education and skills, specifically to health care professionals such as doctors, dentists, nurses, midwives and pharmacists. Although the content of the Web Portal can be used as a clinical decision support system (CDSS), it should not be given undue weight thereto. The content of the Web Portal should only be used as a reference material, similar to a textbook or an article. Responsibility for any decisions rests solely with you as the user. Synbase hereby disclaims any and all liability and responsibility arising from any reliance placed by you on any content presented on the Web Portal. Synbase does not warrant the accuracy, completeness or fitness for a particular purpose of any presented content.
Liability
The use of the Synbase Web Portal is at your own risk. Synbase cannot be held responsible for any malicious program that may infect your computer or mobile equipment or any other hardware or software, nor for any loss or alteration of data resulting from the use of the Web Portal. It is your responsibility to take all appropriate measures to protect your data, computer systems or software from contamination by possible viruses, trojan horses or, more generally, any computer programs that could compromise the security of the digital platform.
Subject to the applicable legal and/or regulatory provisions, Synbase cannot be held responsible for any direct or indirect damage linked to the use or the impossibility of using the Synbase Web Portal and more generally, for any event linked to the Synbase Web Portal such as, in particular, technical failures, breakdowns, interruptions, modifications to the Web Portal.
You are hereby kindly reminded that you remain solely responsible for the data you communicate to Synbase. Under no circumstances can Synbase be held liable in case of error, omission or imprecision of the information that you have communicated.
To the fullest extent permitted by the applicable law, the liability of Synbase is limited to the aggregate amount of fees paid by you to Synbase during the period of 1 year before the event giving rise to the liability of Synbase took place.
Nothing in these Terms limits or excludes the liability of Synbase if such liability cannot be limited or excluded under applicable legal and/or regulatory provisions.
Indemnification
You agree to indemnify and hold Synbase harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of or related to your breach of these Terms, your violation of any applicable legal and/or regulatory provisions, or any rights of third parties.
Personal data
We process your personal data only as permitted by applicable laws and regulations, including the EU Regulation 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR). We only process personal data which you have provided to us in connection with the contract concluded between Synbase and you under these Terms. We process and store your personal data only to the extent and as long as necessary for the performance of such contract. With regard to processing your personal data, Synbase OÜ acts as a data processor. In case of any questions please contact us via synbase@synbase.eu. If you feel that your right to privacy has been violated, you can submit a complaint with the EU supervisory authority of your permanent place of residence. Miscellaneous
Synbase reserves the right to deactivate your account at any time without giving any prior notice or any compensation/reimbursement thereto if you fail to comply with any of the obligations arising from these Terms, in particular if you provide false, inaccurate or incomplete information.
Our failure to exercise or enforce any provision or right of these Terms on one occasion does not mean that and will not prevent us from enforcing on subsequent occasions.
If any provision of these Terms is held to be invalid, void or unenforceable for any reason, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions or Terms
The relevant courts of Estonia will have jurisdiction in relation to these Terms, although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. The relevant law of Estonia will apply to these Terms.
If you are a consumer, you also have the right to lodge a complaint to the consumer dispute committee via the Consumer Protection Board. Proceedings in the committee are free of charge for consumers and you may file a complaint personally or through a representative. Information on the consumer dispute committee is available on the Consumer Protection Board’s website: http://tarbijakaitseamet.ee. If you, as a consumer, are residing in another member state of the European Union, you may lodge a complaint on the European Commission’s online dispute resolution platform which you can access here: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=EN.
